in this By-law.</Text><Definition lims:inforce-start-date="2015-08-01" lims:fid="705818" lims:id="705818" generate-in-text="no"><Text><DefinedTermEn>By-law No. 3</DefinedTermEn> means <XRefExternal reference-type="regulation">Canadian Payments Association By-law No. 3 — Payment Items and Automated Clearing Settlement System</XRefExternal>. (<DefinedTermFr>Règlement administratif n° 3</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2015-08-01" lims:fid="705819" lims:id="705819" generate-in-text="no"><Text><DefinedTermEn>clearing member</DefinedTermEn> means a member that, on behalf of a non-member, exchanges payment items and effects clearing or makes entries into the Automated Clearing Settlement System within the meaning of By-law No. 3. (<DefinedTermFr>membre de compensation</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2015-08-01" lims:fid="705820" lims:id="705820" generate-in-text="no"><Text><DefinedTermEn>committee</DefinedTermEn> means a committee established by the Board or a subcommittee of that lims:inforce-start-date="2015-08-01" lims:fid="705825" lims:id="705825" generate-in-text="no"><Text><DefinedTermEn>secretary</DefinedTermEn> means the secretary of the Association appointed by the lims:inforce-start-date="2015-08-01" lims:fid="705827" lims:id="705827">Contravention by member</MarginalNote><Label>(2)</Label><Text>For the purposes of this By-law, a member commits a contravention when the member fails to comply with a provision of the by-laws or rules that imposes a duty on the member.</Text></Subsection><Subsection lims:inforce-start-date="2015-08-01" lims:fid="705828" lims:id="705828"><MarginalNote lims:inforce-start-date="2015-08-01" lims:fid="705829" lims:id="705829">Contravention by non-member</MarginalNote><Label>(3)</Label><Text>For the purposes of this By-law, a non-member commits a contravention when the non-member fails to comply with a provision of the by-laws or rules in respect of which a clearing member is responsible for ensuring compliance by the non-member under By-law No. 3.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2015-08-01" lims:fid="705831" lims:id="705831">SOR/2010-43, s. 70; SOR/2015-185, s. 26</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2015-08-01" lims:fid="705832" lims:id="705832" level="1"><TitleText>Investigation Initiated by President</TitleText><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2015-08-01" lims:fid="705834" lims:id="705834">SOR/2010-43, s. 71</HistoricalNoteSubItem></HistoricalNote></Heading><Section lims:inforce-start-date="2010-03-01" lims:lastAmendedDate="2010-03-01" lims:fid="705835" lims:id="705835"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705836" lims:id="705836">Initiated by President</MarginalNote><Label>2</Label><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705837" lims:id="705837"><Label>(1)</Label><Text>The President may, at any time, if the President reasonably believes that a member or a non-member has committed a contravention, refer the matter to a committee that has relevant expertise for the purposes of an investigation.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705838" lims:id="705838"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705839" lims:id="705839">Requirements</MarginalNote><Label>(2)</Label><Text>The President shall provide the following when referring the matter to a committee:</Text><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705840" lims:id="705840"><Label>(a)</Label><Text>the name of the member or non-member involved;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705841" lims:id="705841"><Label>(b)</Label><Text>a description of the alleged contravention and the relevant facts;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705842" lims:id="705842"><Label>(c)</Label><Text>any documentary evidence supporting the allegation; and</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705843" lims:id="705843"><Label>(d)</Label><Text>any other relevant information or arguments.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705844" lims:id="705844"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705845" lims:id="705845">Notice</MarginalNote><Label>(3)</Label><Text>Immediately after the President refers a matter to a committee, the President shall give written notice to the parties that the President has referred the matter to a committee for the purposes of an investigation. The notice shall contain a description of the alleged contravention.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2010-03-01" lims:fid="705847" lims:id="705847">SOR/2010-43, s. 72</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2015-08-01" lims:fid="705848" lims:id="705848" level="1"><TitleText>Investigation Initiated by Complaint</TitleText></Heading><Section lims:inforce-start-date="2010-03-01" lims:lastAmendedDate="2010-03-01" lims:fid="705849" lims:id="705849"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705850" lims:id="705850">Complaint</MarginalNote><Label>3</Label><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705851" lims:id="705851"><Label>(1)</Label><Text>A member may file with the President a complaint alleging that another member or non-member has committed a contravention.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705852" lims:id="705852"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705853" lims:id="705853">Requirements</MarginalNote><Label>(2)</Label><Text>A complaint shall be in writing and signed by an authorized representative of the complainant. The complaint shall contain the following:</Text><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705854" lims:id="705854"><Label>(a)</Label><Text>the name of the member or non-member involved;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705855" lims:id="705855"><Label>(b)</Label><Text>a description of the alleged contravention and the relevant facts;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705856" lims:id="705856"><Label>(c)</Label><Text>any documentary evidence supporting the complaint;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705857" lims:id="705857"><Label>(d)</Label><Text>if appropriate, the relief sought; and</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705858" lims:id="705858"><Label>(e)</Label><Text>any other relevant information or arguments.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2010-03-01" lims:fid="705860" lims:id="705860">SOR/2010-43, s. 73</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="705861" lims:id="705861"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="705862" lims:id="705862">Item in dispute</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="705863" lims:id="705863"><Label>(1)</Label><Text>Before filing a complaint that involves an item in dispute, the member shall give written notice to the member alleged to be in contravention or, in the case of a non-member alleged to be in contravention, to the non-member and its clearing member</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="705864" lims:id="705864"><Label>(a)</Label><Text>of the reason for the dispute, within 60 days after receipt of the returned item by the branch that originally received the item on negotiation or deposit; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="705865" lims:id="705865"><Label>(b)</Label><Text>of the member’s intention to file a complaint, at least 30 days before the day on which the complaint is filed.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="705866" lims:id="705866"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="705867" lims:id="705867">Time limit</MarginalNote><Label>(2)</Label><Text>No complaint involving an item in dispute may be filed more than 180 days after the notice referred to in paragraph (1)(b) has been given.</Text></Subsection></Section><Section lims:inforce-start-date="2010-03-01" lims:lastAmendedDate="2010-03-01" lims:fid="705868" lims:id="705868"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705869" lims:id="705869">Acknowledgement of receipt</MarginalNote><Label>5</Label><Text>The President shall acknowledge, in writing, receipt of the complaint within 10 days after the day on which it is filed.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2010-03-01" lims:fid="705871" lims:id="705871">SOR/2010-43, s. 74</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2010-03-01" lims:lastAmendedDate="2010-03-01" lims:fid="705872" lims:id="705872"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705873" lims:id="705873">Powers of President</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705874" lims:id="705874"><Label>(1)</Label><Text>The President shall, if the President believes that the complaint is not frivolous, vexatious or made in bad faith,</Text><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705875" lims:id="705875"><Label>(a)</Label><Text>investigate the complaint and appoint one or more persons as necessary to assist in the investigation; or</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705876" lims:id="705876"><Label>(b)</Label><Text>refer the complaint to a committee that has relevant expertise for the purposes of an investigation.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705877" lims:id="705877"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705878" lims:id="705878">Notice</MarginalNote><Label>(2)</Label><Text>If the President decides to investigate a complaint or to refer a complaint to a committee, the President shall, within 30 days after the day on which the complaint is filed, give written notice to the parties of the President’s decision. The notice shall contain the details of the complaint.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705879" lims:id="705879"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705880" lims:id="705880">Referral</MarginalNote><Label>(3)</Label><Text>If the President refers a complaint to a committee, the referral shall be made within 40 days after the day on which the complaint is filed.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2010-03-01" lims:fid="705882" lims:id="705882">SOR/2010-43, s. 75</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2010-03-01" lims:lastAmendedDate="2010-03-01" lims:fid="705883" lims:id="705883"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705884" lims:id="705884">Frivolous complaints</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705885" lims:id="705885"><Label>(1)</Label><Text>If the President decides that the complaint is frivolous, vexatious or made in bad faith, the President shall give written notice of that decision with reasons to the complainant within 30 days after the day on which the complaint is filed.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705886" lims:id="705886"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705887" lims:id="705887">Appeal</MarginalNote><Label>(2)</Label><Text>A complainant may appeal the President’s decision to the Board within 30 days after the day on which the notice of the decision is given to the complainant.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705888" lims:id="705888"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705889" lims:id="705889">Requirements</MarginalNote><Label>(3)</Label><Text>The appeal shall be made in writing, signed by an authorized representative of the appellant and given to the secretary.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705890" lims:id="705890"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705891" lims:id="705891">Acknowledgement of receipt</MarginalNote><Label>(4)</Label><Text>The secretary shall acknowledge, in writing, receipt of the appeal within 10 days after the day on which it is received.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705892" lims:id="705892"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705893" lims:id="705893">Distribution and scheduling</MarginalNote><Label>(5)</Label><Text>The secretary shall distribute the appeal to the members of the Board, and the hearing of the appeal shall be placed on the agenda for the next regular meeting of the Board.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705894" lims:id="705894"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705895" lims:id="705895">Notice of the hearing</MarginalNote><Label>(6)</Label><Text>The secretary shall give written notice of the hearing of the appeal to the complainant and the President at least 14 days before the day of the hearing.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705896" lims:id="705896"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705897" lims:id="705897">Conflict of interest</MarginalNote><Label>(7)</Label><Text>If a director has, or appears to have, a conflict of interest, that director shall withdraw from the appeal.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705898" lims:id="705898"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705899" lims:id="705899">Submissions</MarginalNote><Label>(8)</Label><Text>The complainant and the President shall be given the opportunity to make oral and written submissions to the Board without introducing new evidence.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705900" lims:id="705900"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705901" lims:id="705901">Decision of Board</MarginalNote><Label>(9)</Label><Text>The Board shall either confirm the President’s decision, if the Board believes the complaint is frivolous, vexatious or made in bad faith, or order that an investigation be conducted.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705902" lims:id="705902"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705903" lims:id="705903">Requirements for decisions</MarginalNote><Label>(10)</Label><Text>The decision of the Board shall be in writing with reasons and the Board shall give the decision to the complainant and the President within 30 days after the day of the hearing.</Text></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705904" lims:id="705904"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705905" lims:id="705905">Notice</MarginalNote><Label>(11)</Label><Text>If the Board orders that an investigation be held, the President shall, within 10 days after the day on which the order is received,</Text><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705906" lims:id="705906"><Label>(a)</Label><Text>refer the investigation to a committee that has relevant expertise; and</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705907" lims:id="705907"><Label>(b)</Label><Text>give to the parties a written notice setting out the details of the complaint and that the complaint has been referred to a committee for the purposes of an investigation.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:fid="705910" lims:id="705910" level="1"><TitleText>Compliance Panel</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="705911" lims:id="705911"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="705912" lims:id="705912">Duties</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="705913" lims:id="705913"><Label>(1)</Label><Text>If a complaint has been referred to a committee, the committee shall, at its next regular meeting,</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="705914" lims:id="705914"><Label>(a)</Label><Text>establish a compliance panel of at least three representatives of members other than the complainant and the member alleged to be in contravention or, in the case of a non-member alleged to be in contravention, the non-member’s clearing member; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="705915" lims:id="705915"><Label>(b)</Label><Text>appoint the chair of the compliance panel.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="705916" lims:id="705916"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="705917" lims:id="705917">Decision</MarginalNote><Label>(2)</Label><Text>A decision of the compliance panel is by majority vote.</Text></Subsection></Section><Heading lims:inforce-start-date="2015-08-01" investigation, the President or compliance panel, as the case may be, decides that a member is in contravention or, in the case of a non-member alleged to be in contravention, that the non-member is in contravention and that its clearing member failed to ensure compliance by the non-member, the President or compliance panel, as the case may be, may take one or more of the following actions:</Text><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705974" lims:id="705974"><Label>(a)</Label><Text>reprimand the member;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705975" lims:id="705975"><Label>(b)</Label><Text>order the member to do anything that a member is required to do, or to stop doing anything that a member is not allowed to do, under the by-laws or rules;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705976" lims:id="705976"><Label>(c)</Label><Text>order the member to make restitution to any member that has suffered a loss as a result of the contravention;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705977" lims:id="705977"><Label>(d)</Label><Text>suspend one or more of the rights of the member, specifying the day on which the rights are automatically reinstated or the conditions that must be met before the rights can be reinstated on application under section 25;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705978" lims:id="705978"><Label>(e)</Label><Text>order the member to comply with certain conditions when the member exercises one or more of its rights;</Text></Paragraph><Paragraph lims:inforce-start-date="2010-03-01" lims:fid="705979" lims:id="705979"><Label>(f)</Label><Text>order the member to pay a penalty not to exceed $250,000 for each contravention.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2010-03-01" lims:fid="705980" lims:id="705980"><MarginalNote lims:inforce-start-date="2010-03-01" lims:fid="705981" lims:id="705981">Recommendation to remove</MarginalNote><Label>(2)</Label><Text>In addition to the sanctions referred to in subsection (1), the President or compliance panel, as the case may be, may notify the Board or any committee on which an officer or employee of the member serves that the member has committed a contravention and recommend that the officer or employee be removed from the Board or incurred by him or her in respect of any civil, criminal or administrative action or proceeding to which he or she was made a party by reason of being or having been a member of a compliance panel,
