lims:id="674467" generate-in-text="no"><Text><DefinedTermEn>designated entity</DefinedTermEn> means an entity other than</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674468" lims:id="674468"><Label>(a)</Label><Text>a joint venture;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674469" lims:id="674469"><Label>(b)</Label><Text>an insurance company;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674470" lims:id="674470"><Label>(c)</Label><Text>a securities dealer; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674471" lims:id="674471"><Label>(d)</Label><Text>a subsidiary of an insurance company or securities dealer. (<DefinedTermFr>entité lims:inforce-start-date="2006-03-22" lims:fid="674473" lims:id="674473" generate-in-text="no"><Text><DefinedTermEn>joint venture</DefinedTermEn> means a real property entity</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674474" lims:id="674474"><Label>(a)</Label><Text>that was formed by an association, or by a designated entity controlled by an association, and one or more other persons for the purpose of a specific business undertaking;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674475" lims:id="674475"><Label>(b)</Label><Text>in which the association or designated entity has a substantial investment; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674476" lims:id="674476"><Label>(c)</Label><Text>in respect of which the persons who formed it have agreed on joint control, regardless of the distribution of their equity. (<DefinedTermFr>coentreprise</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="674477" lims:id="674477" generate-in-text="no"><Text><DefinedTermEn>real property entity</DefinedTermEn> means an entity that is primarily engaged in holding, managing or otherwise dealing with</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674478" lims:id="674478"><Label>(a)</Label><Text>real property;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674479" lims:id="674479"><Label>(b)</Label><Text>shares of a body corporate that is primarily engaged in holding, managing or otherwise dealing with real property, including shares of a body corporate that is another real property entity; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674480" lims:id="674480"><Label>(c)</Label><Text>ownership interests in an unincorporated entity that is primarily engaged in holding, managing or otherwise dealing with real property, including ownership interests in an unincorporated entity that is another real property entity. (<DefinedTermFr>entité immobilière</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="674481" lims:id="674481" generate-in-text="no"><Text><DefinedTermEn>related real property entity</DefinedTermEn>, in respect of an association, means</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674482" lims:id="674482"><Label>(a)</Label><Text>a real property entity, other than a designated entity controlled by the association, in which the association or a designated entity controlled by the association beneficially owns sufficient shares or ownership interests to cause the association or designated entity to have a substantial investment in the real property entity; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674483" lims:id="674483"><Label>(b)</Label><Text>a real property entity that is controlled by a real property entity described in paragraph (a). (<DefinedTermFr>entité immobilière apparentée</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="674484" lims:id="674484" generate-in-text="no"><Text><DefinedTermEn>securities dealer</DefinedTermEn> means an entity described in paragraph (g) of the definition <DefinedTermEn>financial institution</DefinedTermEn> in section 2 of the Act. (<DefinedTermFr>négociant en valeurs mobilières</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="674485" lims:id="674485" generate-in-text="no"><Text><DefinedTermEn>third party</DefinedTermEn>, in respect of an association, means a person other than</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674486" lims:id="674486"><Label>(a)</Label><Text>the association;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674487" lims:id="674487"><Label>(b)</Label><Text>a designated entity controlled by the association; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674488" lims:id="674488"><Label>(c)</Label><Text>a related real property entity of the association. (<DefinedTermFr>tierce partie</DefinedTermFr>)</Text></Paragraph></Definition></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="674489" lims:id="674489"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674490" lims:id="674490">Book value of interest in real property</MarginalNote><Label>2</Label><Text>For the purposes of sections 8 to 11, the book value of an asset that is an interest of an association in real property, at a particular time, is</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674491" lims:id="674491"><Label>(a)</Label><Text>if the asset is real property, the gross book value of the real property, less any accumulated depreciation on the real property, that would be reported on a balance sheet of the association prepared as at that time in accordance with the accounting principles and specifications of the Superintendent referred to in subsection 292(4) of the Act; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674492" lims:id="674492"><Label>(b)</Label><Text>if the asset is a security or loan, the book value of the security or loan that would be reported on a balance sheet of the association prepared as at that time in accordance with the accounting principles and specifications of the Superintendent referred to in subsection 292(4) of the Act.</Text></Paragraph></Section><Heading lims:inforce-start-date="2011-09-22" lims:fid="674493" lims:id="674493" level="1"><TitleText>Exemptions</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="674494" lims:id="674494"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674495" lims:id="674495">Exempt associations</MarginalNote><Label>3</Label><Text>Sections 401 and 402 of the Act do not apply to an association if the sum of the equity of the association and the minority interests in entities controlled by the association, as they appear in the consolidated financial statements of the association, is five billion dollars or more.</Text></Section><Heading the total value of all interests of the association in real property, other than interests that, because of section 397 of the Act, are not to be included in computing the value of loans, investments and interests of the association, and of its subsidiaries prescribed by section 4, under sections 398 to 402 of the Act; and</Text></FormulaDefinition><FormulaDefinition lims:inforce-start-date="2011-09-22" lims:fid="674516" lims:id="674516"><FormulaTerm>B</FormulaTerm><Text>is the regulatory capital of the association. (<DefinedTermFr>pourcentage de biens the total value of all participating shares that are beneficially owned by the association and its subsidiaries prescribed by section 4, other than</Text><FormulaParagraph and</Text></FormulaParagraph><FormulaParagraph lims:inforce-start-date="2011-09-22" lims:fid="674522" lims:id="674522"><Label>(b)</Label><Text>shares that, because of section 397 of the Act, are not to be included in computing the value of loans, investments and interests of the association, and of its subsidiaries prescribed by section 4, under sections 398 to 402 of the Act;</Text></FormulaParagraph></FormulaDefinition><FormulaDefinition lims:inforce-start-date="2011-09-22" lims:fid="674523" lims:id="674523"><FormulaTerm>B</FormulaTerm><Text>is the total value of all its equity percentage, if the association is not an association referred to in paragraph (a) and its equity percentage exceeds 30%.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2011-09-22" lims:fid="674532" lims:id="674532"><MarginalNote lims:inforce-start-date="2011-09-22" lims:fid="674533" lims:id="674533">Prescribed percentage — equity</MarginalNote><Label>(3)</Label><Text>For the purpose of section 402 of the Act, the prescribed percentage of the regulatory capital of an association is</Text><Paragraph lims:inforce-start-date="2011-09-22" lims:fid="674534" lims:id="674534"><Label>(a)</Label><Text>35%, if the association is primarily engaged in the business of managing liquidity or providing referred to in that section that are beneficially owned by an association and its subsidiaries prescribed by section 4 is equal to their book value as reported on the consolidated balance sheet of the Property</TitleText></Heading><Heading lims:inforce-start-date="2011-09-22" lims:fid="674543" lims:id="674543" level="2"><TitleText>General</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="674544" lims:id="674544"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674545" lims:id="674545">Definition of interest in real property</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="674546" lims:id="674546"><Label>(1)</Label><Text>For the purposes of Part X of the Act, other than subsection 397(3) of the Act, sections 8 to 12 define the interests of an association in real property and set out how those interests are to be valued.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="674547" lims:id="674547"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674548" lims:id="674548">Exception</MarginalNote><Label>(2)</Label><Text>For the purpose of subsection 397(3) of the Act, the interests of an association in real property means real property referred to in paragraph 11(1)(a) and shares and ownership interests referred to in paragraph 11(1)(b) that become beneficially owned by the association, or by a designated entity controlled by the association, as a result of the realization of a security interest on a loan or debt obligation referred to in subsection 11(1).</Text></Subsection></Section><Heading lims:inforce-start-date="2011-09-22" lims:fid="674549" lims:id="674549" level="2"><TitleText>Direct Interests — Real Property and Debt Obligations</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="674550" lims:id="674550"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674551" lims:id="674551">Direct interests</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="674552" lims:id="674552"><Label>(1)</Label><Text>The following are interests of an association in real property:</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674553" lims:id="674553"><Label>(a)</Label><Text>real property beneficially owned by the association or by a designated entity controlled by the association; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674554" lims:id="674554"><Label>(b)</Label><Text>a debt obligation, for which the association or a designated entity controlled by the association is liable, that was issued for the purpose of acquiring or improving real property referred to in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="674555" lims:id="674555"><MarginalNote lims:inforce-start-date="2006-03-22" lims:fid="674556" lims:id="674556">Value of direct interests</MarginalNote><Label>(2)</Label><Text>The value of the interests of an association in real property is</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674557" lims:id="674557"><Label>(a)</Label><Text>in respect of real property referred to in paragraph (1)(a), the book value of the real property; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="674558" lims:id="674558"><Label>(b)</Label><Text>in respect of a debt obligation referred to in paragraph (1)(b), any amount by which the book value of the debt obligation exceeds the book value of the real property referred to in that paragraph.</Text></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2011-09-22" lims:fid="674559" lims:id="674559" level="2"><TitleText>Indirect Interests — Real Property, Shares and Ownership Interests</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:inforce-start-date="2006-03-22" lims:fid="674564" lims:id="674564"><Label>(i)</Label><Text>that is beneficially owned by</Text><Clause lims:inforce-start-date="2006-03-22" lims:fid="674565" lims:id="674565"><Label>(A)</Label><Text>a related real property entity of the association that is a joint venture, or</Text></Clause><Clause lims:inforce-start-date="2006-03-22" lims:fid="674566" lims:id="674566"><Label>(B)</Label><Text>an entity in which an entity described in clause (A) has a substantial investment, and</Text></Clause></Subparagraph><Subparagraph
