level="1"><TitleText>Interpretation</TitleText></Heading><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400623" lims:id="400623"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400624" lims:id="400624">Definitions</MarginalNote><Label>2</Label><Text>The following definitions apply in this Act.</Text><Definition lims:inforce-start-date="2013-01-01" lims:fid="400625" lims:id="400625"><Text><DefinedTermEn>approved mortgage insurer</DefinedTermEn> means a mortgage insurer that is designated under section <XRefInternal>4</XRefInternal>. (<DefinedTermFr>assureur hypothécaire agréé</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400626" lims:id="400626"><Text><DefinedTermEn>company</DefinedTermEn> means the Canada Guaranty Mortgage Insurance Company, the Genworth Financial Mortgage Insurance Company Canada, the PMI Mortgage Insurance Company Canada or any successor to any of those companies. (<DefinedTermFr>société</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400627" lims:id="400627"><Text><DefinedTermEn>court</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400628" lims:id="400628"><Label>(a)</Label><Text>in Ontario, the Superior Court of Justice;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400629" lims:id="400629"><Label>(b)</Label><Text>in Quebec, the Superior Court of the province;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400630" lims:id="400630"><Label>(c)</Label><Text>in Nova Scotia and British Columbia, the Supreme Court of the province;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400631" lims:id="400631"><Label>(d)</Label><Text>in New Brunswick, Manitoba, Saskatchewan and Alberta, the Court of Queen’s Bench for the province;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400632" lims:id="400632"><Label>(e)</Label><Text>in Prince Edward Island and Newfoundland and Labrador, the trial division of the Supreme Court of the province; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400633" lims:id="400633"><Label>(f)</Label><Text>in Yukon and the Northwest Territories, the Supreme Court of the territory, and in Nunavut, the Nunavut Court of Justice. (<DefinedTermFr>tribunal</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400634" lims:id="400634"><Text><DefinedTermEn>eligible mortgage loan</DefinedTermEn> means a mortgage or hypothecary loan that meets the criteria established by regulations made under subsection <XRefInternal>42</XRefInternal>(1). (<DefinedTermFr>prêt hypothécaire admissible</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400635" lims:id="400635"><Text><DefinedTermEn>Her Majesty</DefinedTermEn> means Her Majesty in right of Canada. (<DefinedTermFr>Sa Majesté</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400636" lims:id="400636"><Text><DefinedTermEn>liquidator</DefinedTermEn> means a liquidator appointed under the <XRefExternal reference-type="act" link="W-11">Winding-up and Restructuring Act</XRefExternal> or a similar official appointed under any other Act of Parliament relating to insolvency or bankruptcy. (<DefinedTermFr>liquidateur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400637" lims:id="400637"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Finance. (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400638" lims:id="400638"><Text><DefinedTermEn>mortgage insurer</DefinedTermEn> means a corporation referred to in subsection 13(1) of the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal> and that is approved by the Superintendent to sell mortgage or hypothecary insurance in Canada.  (<DefinedTermFr>assureur hypothécaire</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400639" lims:id="400639"><Text><DefinedTermEn>policy</DefinedTermEn> means any written contract of insurance in respect of an eligible mortgage loan, whether contained in one or more documents, entered into by an approved mortgage insurer and a qualified mortgage lender that has been designated as such by the approved mortgage insurer. (<DefinedTermFr>police</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400640" lims:id="400640"><Text><DefinedTermEn>prescribed</DefinedTermEn> means prescribed by regulations made under section <XRefInternal>41</XRefInternal>. (<DefinitionEnOnly>Version anglaise seulement</DefinitionEnOnly>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400641" lims:id="400641"><Text><DefinedTermEn>qualified mortgage lender</DefinedTermEn> means a mortgage or hypothecary lender that has been designated under section <XRefInternal>10</XRefInternal>. (<DefinedTermFr>prêteur hypothécaire qualifié</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400642" lims:id="400642"><Text><DefinedTermEn>Superintendent</DefinedTermEn> means the Superintendent of Financial Institutions appointed under the <XRefExternal reference-type="act" link="O-2.7">Office of the Superintendent of Financial Institutions Act</XRefExternal>. (<DefinedTermFr>surintendant</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-01-01" lims:fid="400643" lims:id="400643"><Text><DefinedTermEn>winding-up order</DefinedTermEn> means a winding-up order made under the <XRefExternal reference-type="act" link="W-11">Winding-up and Restructuring Act</XRefExternal> or a similar order made under any other Act of Parliament relating to insolvency or bankruptcy. (<DefinedTermFr>ordonnance de mise en liquidation</DefinedTermFr>)</Text></Definition></Section><Heading lims:inforce-start-date="2013-01-01" lims:fid="400644" lims:id="400644" level="1"><TitleText>Purposes</TitleText></Heading><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400645" lims:id="400645"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400646" lims:id="400646">Purposes</MarginalNote><Label>3</Label><Text>The purposes of this Act are</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400647" lims:id="400647"><Label>(a)</Label><Text>to authorize the Minister to provide protection in respect of certain mortgage or hypothecary insurance contracts in order to support the efficient functioning of the housing finance market and the stability of the financial system in Canada; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400648" lims:id="400648"><Label>(b)</Label><Text>to mitigate the risks arising from the provision of that protection.</Text></Paragraph></Section><Heading lims:inforce-start-date="2013-01-01" lims:fid="400649" lims:id="400649" level="1"><TitleText>Approved Mortgage Insurers</TitleText></Heading><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400650" lims:id="400650"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400651" lims:id="400651">Designation</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400652" lims:id="400652"><Label>(1)</Label><Text>At the written request of a mortgage insurer, the Minister may, after consulting with the Superintendent, designate the mortgage insurer as an approved mortgage insurer for the purposes of this Act.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400653" lims:id="400653"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400654" lims:id="400654">Term of designation</MarginalNote><Label>(2)</Label><Text>The designation or its renewal are in effect for any period that the Minister specifies.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400655" lims:id="400655"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400656" lims:id="400656">Suspension of designation</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400657" lims:id="400657"><Label>(1)</Label><Text>After consulting with the Superintendent, the Minister may, by notice sent to an approved mortgage insurer, suspend the approved mortgage insurer’s designation if the Minister is of the opinion that the approved mortgage insurer has failed to comply with any provision of this Act or the regulations.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400658" lims:id="400658"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400659" lims:id="400659">Effective date and length</MarginalNote><Label>(2)</Label><Text>The notice must set out the effective date and the length of the suspension.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400660" lims:id="400660"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400661" lims:id="400661">Prohibition</MarginalNote><Label>(3)</Label><Text>An approved mortgage insurer that has had its designation suspended must not insure any new mortgage or hypothecary loans until the suspension expires or is cancelled by the Minister.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400662" lims:id="400662"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400663" lims:id="400663">Obligations during suspension</MarginalNote><Label>(4)</Label><Text>For as long as the designation of an approved mortgage insurer is suspended, the approved mortgage insurer remains subject to the provisions of this Act and the regulations and must meet any conditions imposed by the Minister and satisfy any undertakings required by him or her.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400664" lims:id="400664"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400665" lims:id="400665">Cancellation of suspension</MarginalNote><Label>(5)</Label><Text>The Minister may cancel a suspension if he or she considers it appropriate to do so.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400666" lims:id="400666"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400667" lims:id="400667">Cancellation of designation</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400668" lims:id="400668"><Label>(1)</Label><Text>After consulting with the Superintendent, the Minister may, by notice sent to an approved mortgage insurer, cancel the approved mortgage insurer’s designation if</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400669" lims:id="400669"><Label>(a)</Label><Text>the Minister is of the opinion that the approved mortgage insurer has failed to comply with any provision of this Act or the regulations;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400670" lims:id="400670"><Label>(b)</Label><Text>a winding-up order is made in respect of the approved mortgage insurer;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400671" lims:id="400671"><Label>(c)</Label><Text>the approved mortgage insurer ceases to be a mortgage insurer; or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400672" lims:id="400672"><Label>(d)</Label><Text>the approved mortgage insurer requests in writing that its designation be cancelled.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400673" lims:id="400673"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400674" lims:id="400674">Effective date of cancellation</MarginalNote><Label>(2)</Label><Text>The notice must set out the effective date of the cancellation.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400675" lims:id="400675"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400676" lims:id="400676">Publication</MarginalNote><Label>(3)</Label><Text>As soon as feasible after sending the notice, the Minister must cause the name of the approved mortgage insurer whose designation is cancelled and the effective date of the cancellation to be published in the <XRefExternal reference-type="other" link="gazette">Canada Gazette</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400677" lims:id="400677"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400678" lims:id="400678">Obligations after cancellation</MarginalNote><Label>(4)</Label><Text>After the designation of a corporation as an approved mortgage insurer is cancelled and for as long as the Minister has any actual or potential obligations under section <XRefInternal>16</XRefInternal> in respect of the policies the corporation issued or the contracts of insurance it entered into that could be deemed to be policies under section <XRefInternal>19</XRefInternal>, the corporation remains subject to sections <XRefInternal>8</XRefInternal> and <XRefInternal>15</XRefInternal> and the regulations related to those sections, as if it were still an approved mortgage insurer, and it must meet any conditions imposed by the Minister and satisfy any undertakings required by him or her.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400679" lims:id="400679"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400680" lims:id="400680">Company never designated</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400681" lims:id="400681"><Label>(1)</Label><Text>For the period referred to in subsection (2), a company that has never been designated as an approved mortgage insurer is subject to sections <XRefInternal>8</XRefInternal> and <XRefInternal>15</XRefInternal> and the regulations related to those sections, as if it were an approved mortgage insurer, and must meet any conditions imposed by the Minister and satisfy any undertakings required by him or her.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400682" lims:id="400682"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400683" lims:id="400683">Period</MarginalNote><Label>(2)</Label><Text>The period is the length of time that the Minister has any actual or potential obligations under section <XRefInternal>16</XRefInternal> in respect of the contracts of insurance the company entered into that could be deemed to be policies under section <XRefInternal>19</XRefInternal>.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400684" lims:id="400684"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400685" lims:id="400685">Adequacy of capital</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400686" lims:id="400686"><Label>(1)</Label><Text>In order to mitigate the risks to Her Majesty that arise from the provision of mortgage or hypothecary insurance protection under this Act, an approved mortgage insurer must, in relation to its business and in addition to the capital it is required to maintain under the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal>, maintain adequate capital.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400687" lims:id="400687"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400688" lims:id="400688">Adequacy determined by Minister</MarginalNote><Label>(2)</Label><Text>The adequate level of capital is to be determined by the Minister after considering the advice of the Superintendent.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400689" lims:id="400689"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400690" lims:id="400690">Fees for risk exposure</MarginalNote><Label>9</Label><Text>An approved mortgage insurer must, in accordance with the regulations, pay fees to the Receiver General to compensate Her Majesty for Her exposure to the risks arising from the provision of the mortgage or hypothecary insurance protection under this Act.</Text></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400691" lims:id="400691"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400692" lims:id="400692">Designation of qualified mortgage lenders</MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400693" lims:id="400693"><Label>(1)</Label><Text>An approved mortgage insurer may designate as a qualified mortgage lender for the purposes of this Act any mortgage or hypothecary lender that meets prescribed criteria.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400694" lims:id="400694"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400695" lims:id="400695">Term of designation</MarginalNote><Label>(2)</Label><Text>The designation or its renewal are in effect for any period that the approved mortgage insurer specifies.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400696" lims:id="400696"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400697" lims:id="400697">Cancellation of designation</MarginalNote><Label>(3)</Label><Text>The approved mortgage insurer may, by notice sent to a qualified mortgage lender that it has designated as such, cancel the qualified mortgage lender’s designation.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400698" lims:id="400698"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400699" lims:id="400699">Effective date of cancellation</MarginalNote><Label>(4)</Label><Text>The notice must set out the effective date of the cancellation.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400700" lims:id="400700"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400701" lims:id="400701">Insurance restricted</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400702" lims:id="400702"><Label>(1)</Label><Text>Except as permitted by the regulations, an approved mortgage insurer must not insure any risk unless the risk is in respect of an eligible mortgage loan made by a qualified mortgage lender that has been designated as such by the approved mortgage insurer.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400703" lims:id="400703"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400704" lims:id="400704">Reinsurance restricted</MarginalNote><Label>(2)</Label><Text>Except as permitted by the regulations, an approved mortgage insurer must not cause itself to be reinsured against any risk that it has undertaken under its policies or reinsure any risk that another insurer has undertaken under that insurer’s contracts of insurance.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400705" lims:id="400705"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400706" lims:id="400706">Subsidiaries</MarginalNote><Label>12</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400707" lims:id="400707"><Label>(1)</Label><Text>An approved mortgage insurer must obtain the Minister’s approval before establishing or acquiring a subsidiary as defined in subsection 2(1) of the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400708" lims:id="400708"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400709" lims:id="400709">Conditions and undertakings</MarginalNote><Label>(2)</Label><Text>An approved mortgage insurer must meet any conditions imposed by the Minister and satisfy any undertakings required by him or her in respect of its business activities with any of its lims:inforce-start-date="2013-01-01" lims:fid="400711" lims:id="400711">Conditions and undertakings — business with affiliates, etc.</MarginalNote><Label>13</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400712" lims:id="400712"><Label>(1)</Label><Text>The Minister may impose conditions on and require undertakings from an approved mortgage insurer in respect of its business activities with a person or entity that is</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400713" lims:id="400713"><Label>(a)</Label><Text>an affiliate, as defined in subsection 2(1) of the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal>, of the approved mortgage insurer;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400714" lims:id="400714"><Label>(b)</Label><Text>a related party, within the meaning of section 518 of that Act, of the approved mortgage insurer; or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400715" lims:id="400715"><Label>(c)</Label><Text>in a prescribed relationship with the approved mortgage insurer.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400716" lims:id="400716"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400717" lims:id="400717">Conditions and undertakings — increased risks</MarginalNote><Label>(2)</Label><Text>The Minister may also impose conditions on and require undertakings from an approved mortgage insurer if the Minister is of the opinion that the activities of a person or entity referred to in subsection (1) could materially increase the risks to Her Majesty that arise from the provision of Superintendent, an approved mortgage insurer must, without delay, provide the requester with any information or copies of any books or records that the approved mortgage insurer is required to received under subsection (2) and may also disclose them to the Governor of the Bank of Canada, the Chief Executive Officer of the Canada Deposit Insurance Corporation and the Commissioner of the of an eligible mortgage loan if the Minister is satisfied that the approved mortgage insurer and the qualified mortgage lender believed the loan to be an eligible mortgage loan and that the ineligibility of the loan was not due to negligence or bad faith by either of them.</Text></Section><Section lims:inforce-start-date="2014-06-19" lims:lastAmendedDate="2014-06-19" lims:fid="400759" lims:id="400759"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="400760" lims:id="400760">Pre-existing contracts</MarginalNote><Label>19</Label><Text>If a winding-up order is made in respect of a company, a contract of insurance that the company entered into before the coming into force of this Act is deemed, in respect of a mortgage or hypothecary loan that is the subject of the contract of insurance, to be a policy issued to a qualified mortgage lender in respect of an eligible mortgage loan for the purposes of sections 16, 17 and 20 to 25, if</Text><Paragraph lims:inforce-start-date="2014-06-19" lims:fid="400761" lims:id="400761"><Label>(a)</Label><Text>Her Majesty would have been bound to make a payment in respect of the contract of insurance had section satisfied that the beneficiary would have been entitled to a payment under the policy and that the policyholder has discharged its obligations under the policy and the obligations it would have had payment required to be made under subsection <XRefInternal>16</XRefInternal>(2) must be made before the expiry of two years or of any other prescribed period beginning on the day on which the conditions referred to in paragraphs <XRefInternal>16</XRefInternal>(1)(a) to (c) have been met.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400813" lims:id="400817">Limit</MarginalNote><Label>27</Label><Text>The aggregate outstanding principal amount of the following loans must not at any time exceed $300,000,000,000 or any other amount that is authorized for the purposes of this section under an appropriation Act:</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400818" lims:id="400818"><Label>(a)</Label><Text>all mortgage or lims:id="400819"><Label>(b)</Label><Text>all mortgage or hypothecary loans that are insured under contracts of insurance that could be deemed to be policies under section <XRefInternal>19</XRefInternal> and that are entered into by companies that have never been designated as approved mortgage insurers.</Text></Paragraph></Section><Section lims:id="400821">Allocation of limit</MarginalNote><Label>28</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400822" lims:id="400822"><Label>(1)</Label><Text>The Minister may, by notice in writing, at any time allocate any portion of the amount applicable under section <XRefInternal>27</XRefInternal> to any approved mortgage insurer in order to support the efficient functioning of the housing finance market and the stability of the financial system in Canada and to mitigate the risks to Her Majesty that arise from the provision of mortgage or hypothecary insurance protection under this Act.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400823" lims:id="400823"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400824" lims:id="400824">Prohibition</MarginalNote><Label>(2)</Label><Text>An approved mortgage insurer to whom an amount is allocated must not insure any new mortgage or hypothecary loans if doing so would cause the outstanding principal amount of all mortgage or hypothecary loans that are insured by it to exceed that allocated amount.</Text></Subsection></Section><Heading lims:inforce-start-date="2013-01-01" lims:fid="400825" lims:id="400825" level="1"><TitleText>Examination and Reporting</TitleText></Heading><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400826" lims:id="400826"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400827" lims:id="400827">Examination</MarginalNote><Label>29</Label><Text>The Superintendent must, from time to time, make or cause to be made any examination and inquiry into the business and affairs of a corporation that the Superintendent considers to be necessary or expedient to determine whether the corporation is complying with sections <XRefInternal>5</XRefInternal> to <XRefInternal>8</XRefInternal>, <XRefInternal>10</XRefInternal> to <XRefInternal>15</XRefInternal> and <XRefInternal>28</XRefInternal> and the regulations related to those sections and may, after the conclusion of each examination and inquiry, report on it to the Minister.</Text></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400828" lims:id="400828"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400829" lims:id="400829">Notice to Minister</MarginalNote><Label>30</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400830" lims:id="400830"><Label>(1)</Label><Text>If a corporation is not, or is not likely to remain, in compliance with any of sections <XRefInternal>5</XRefInternal> to <XRefInternal>8</XRefInternal>, <XRefInternal>10</XRefInternal> to <XRefInternal>15</XRefInternal> and <XRefInternal>28</XRefInternal> or the regulations related to those sections, the Superintendent must notify the Minister.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400831" lims:id="400831"><MarginalNote <XRefInternal>28</XRefInternal> or the regulations related to those sections, the Superintendent must notify the management or board of directors of the lims:inforce-start-date="2013-01-01" lims:fid="400834" lims:id="400834">Court order to comply</MarginalNote><Label>31</Label><Text>If a corporation is not in compliance with a provision of this Act or the regulations, the Minister may apply to a court for an order directing the corporation to comply with the provision. lims:inforce-start-date="2013-01-01" lims:fid="400841" lims:id="400841">False or misleading information</MarginalNote><Label>34</Label><Text>Every person who knowingly provides false or misleading information in relation to any matter relating to a provision of this Act or the regulations is guilty of an offence.</Text></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400842" lims:id="400842"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400843" lims:id="400843">Punishment</MarginalNote><Label>35</Label><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400844" lims:id="400844"><Label>(1)</Label><Text>Every person who is guilty of an offence under this Act is liable to</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400845" lims:id="400845"><Label>(a)</Label><Text>on conviction on indictment, a fine of not more than $5,000,000; or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400846" lims:id="400846"><Label>(b)</Label><Text>on summary conviction, a fine of not more than $500,000.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400847" lims:id="400847"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400848" lims:id="400848">Order to comply</MarginalNote><Label>(2)</Label><Text>If a corporation has been convicted of an offence under this Act, the court may, in addition to any punishment it may otherwise impose, order it to comply with the provisions of this Act and the regulations.</Text></Subsection><Subsection lims:inforce-start-date="2013-01-01" lims:fid="400849" lims:id="400849"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400850" lims:id="400850">Additional fine</MarginalNote><Label>(3)</Label><Text>If a corporation has been convicted of an offence under this Act, the court may, if it is satisfied that as a result of the commission of the offence the corporation acquired any monetary benefits, order the corporation to pay, despite the maximum amount of any fine that may otherwise be imposed under this Act, an additional fine in an amount equal to three times the court’s estimation of the amount of those monetary benefits.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400851" lims:id="400851"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400852" lims:id="400852">Liability of officers, directors, etc.</MarginalNote><Label>36</Label><Text>If a corporation commits an offence under this Act, any of its officers, directors, agents or mandataries who directed, authorized, assented to, acquiesced in or participated in the commission of the offence is a party to and guilty of the offence and liable, whether or not the corporation has been prosecuted or convicted, to</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400853" lims:id="400853"><Label>(a)</Label><Text>on conviction on indictment, a fine of not more than $1,000,000 or imprisonment for a term of not more than five years, or both; or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400854" lims:id="400854"><Label>(b)</Label><Text>on summary conviction, a fine of not more than $100,000 or imprisonment for a term of not more than one year, or both.</Text></Paragraph></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400855" lims:id="400855"><MarginalNote lims:inforce-start-date="2013-01-01" certifying the day on which the subject matter of any proceedings became known to the Minister is admissible in evidence without proof of the signature or official character of the person appearing to have signed it and is, in the absence of evidence to the contrary, proof of the matter asserted in it.</Text></Subsection></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400860" lims:id="400860"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400861" lims:id="400861">Appeal with leave</MarginalNote><Label>38</Label><Text>An appeal lies to the court of appeal of a province from any order made under this Act by a court of that province, only with leave of the court of appeal in accordance with the rules applicable to that court.</Text></Section><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400862" lims:id="400862"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400863" lims:id="400863">Recovery and application of fines</MarginalNote><Label>39</Label><Text>All fines payable under this Act are recoverable and enforceable, with costs, at the suit of Her Majesty, instituted by the Attorney General of Canada, and, when recovered, belong to Her Majesty.</Text></Section><Heading liability</MarginalNote><Label>40</Label><Text>No action lies against Her Majesty, the Minister, the Superintendent or any employee or agent of Her Majesty for anything done or omitted to be done in good faith in the exercise or performance of any powers, duties or functions that under this Act are intended or authorized to be exercised or performed.</Text></Section><Heading lims:inforce-start-date="2013-01-01" lims:fid="400867" lims:id="400867" level="1"><TitleText>Regulations</TitleText></Heading><Section lims:inforce-start-date="2013-01-01" lims:lastAmendedDate="2013-01-01" lims:fid="400868" lims:id="400868"><MarginalNote lims:inforce-start-date="2013-01-01" lims:fid="400869" lims:id="400869">Regulations</MarginalNote><Label>41</Label><Text>The Governor in Council may make regulations for carrying out the purposes and provisions of this Act, including regulations</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400870" lims:id="400870"><Label>(a)</Label><Text>imposing conditions on an approved mortgage insurer in order to mitigate the risks to Her Majesty that arise from the provision of mortgage or hypothecary insurance protection under this Act;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400871" lims:id="400871"><Label>(b)</Label><Text>respecting the payment of fees under section <XRefInternal>9</XRefInternal>, including the amount of those fees or the manner of calculating them;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400872" lims:id="400872"><Label>(c)</Label><Text>respecting the designation, by approved mortgage insurers, of mortgage or hypothecary lenders as qualified mortgage lenders;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400873" lims:id="400873"><Label>(d)</Label><Text>prescribing the exceptions to each of the requirements under section <XRefInternal>11</XRefInternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400874" lims:id="400874"><Label>(e)</Label><Text>prescribing the exceptions to each of the prohibitions under section <XRefInternal>14</XRefInternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400875" lims:id="400875"><Label>(f)</Label><Text>prescribing, for the purposes of subsection <XRefInternal>15</XRefInternal>(1), the manner in which books and records are to be kept and retained and the manner in which information is to be retained;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400876" lims:id="400876"><Label>(g)</Label><Text>prescribing, for the purposes of subsection <XRefInternal>15</XRefInternal>(5), the manner in which the books, records and information are to be made available to the public; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400877" lims:id="400877"><Label>(h)</Label><Text>prescribing anything that is required or authorized by this Act to be prescribed.</Text></Paragraph></Section><Section lims:inforce-start-date="2014-06-19" lims:lastAmendedDate="2014-06-19" lims:fid="400878" lims:id="400878"><MarginalNote lims:inforce-start-date="2014-06-19" lims:fid="400879" lims:id="400879">Ministerial regulations</MarginalNote><Label>42</Label><Subsection lims:inforce-start-date="2014-06-19" lims:fid="400880" lims:id="400880"><Label>(1)</Label><Text>The Minister may, after consulting with the Governor of the Bank of Canada and the Superintendent, make regulations establishing criteria that a mortgage or lims:id="400912"><Label>(1)</Label><Text>Within 30 days after the day on which this Act comes into force or any longer period that the Minister allows, each company must send to the Minister a written statement indicating, as of the time immediately before this Act comes into force, the following amounts:</Text><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400913" lims:id="400913"><Label>(a)</Label><Text>the amount of cash on deposit in any custodial account, trust account, guarantee fund or similar account or fund established under an agreement in respect of the company; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-01-01" lims:fid="400914" lims:id="400914"><Label>(b)</Label><Text>the current market value of all securities held in those
