lims:id="90352"><Label>(1)</Label><Text>There is hereby established a tribunal to be known as the Competition Tribunal.</Text></Subsection><Subsection lims:inforce-start-date="2003-07-02" lims:fid="90353" lims:id="90353"><MarginalNote lims:inforce-start-date="2003-07-02" lims:fid="90354" lims:id="90354">Constitution of Tribunal</MarginalNote><Label>(2)</Label><Text>The Tribunal shall consist of</Text><Paragraph lims:inforce-start-date="2003-07-02" lims:fid="90355" lims:id="90355"><Label>(a)</Label><Text>not more than six members to be appointed from among the judges of the Federal Court by the Governor in Council on the recommendation of the Minister of Justice; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-07-02" lims:fid="90356" lims:id="90356"><Label>(b)</Label><Text>not more than eight other members to be appointed by the Governor in Council on the recommendation of the Minister.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-07-02" lims:fid="90357" lims:id="90357"><MarginalNote lims:inforce-start-date="2003-07-02" lims:fid="90358" lims:id="90358">Advisory council</MarginalNote><Label>(3)</Label><Text>The Governor in Council may establish an advisory council to advise the Minister with respect to appointments of lay members, which council is to be composed of not more than ten members who are knowledgeable in economics, industry, commerce or public affairs and may include, without restricting the generality of the foregoing, individuals chosen from business communities, the legal community, consumer groups and labour.</Text></Subsection><Subsection lims:inforce-start-date="2003-07-02" lims:fid="90359" lims:id="90359"><MarginalNote lims:inforce-start-date="2003-07-02" lims:fid="90360" lims:id="90360">Consultation</MarginalNote><Label>(4)</Label><Text>The Minister shall consult with any advisory council established under subsection (3) before making a recommendation with respect to the appointment of a lay member.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2003-07-02" lims:id="90364">Chairman</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90365" lims:id="90365"><Label>(1)</Label><Text>The Governor in Council shall designate one of the judicial members to be Chairman of the Tribunal.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90366" lims:id="90366"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90367" lims:id="90367">Role of Chairman</MarginalNote><Label>(2)</Label><Text>The Chairman has supervision over and direction of the work of the Tribunal including, without restricting the generality of the foregoing, the allocation of the work of the members thereof.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90368" lims:id="90368"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90369" lims:id="90369">Absence or incapacity</MarginalNote><Label>(3)</Label><Text>Where the office of Chairman is vacant, or the Chairman is absent from Canada or is for any reason unable to act, the powers of the Chairman shall be exercised and the duties performed by the senior judicial member who is in Canada and is able and willing to act.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="90370" lims:id="90370"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90371" lims:id="90371">Tenure of judicial members</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90372" lims:id="90372"><Label>(1)</Label><Text>Each judicial member shall be appointed for a term not exceeding seven years and holds office so long as he remains a judge of the Federal Court.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90373" lims:id="90373"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90374" lims:id="90374">Tenure of lay members</MarginalNote><Label>(2)</Label><Text>Each lay member shall be appointed for a term not exceeding seven years and holds office during good behaviour but may be removed by the Governor in Council for cause.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90375" lims:id="90375"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90376" lims:id="90376">Re-appointment</MarginalNote><Label>(3)</Label><Text>A member of the Tribunal, on the expiration of a first or any subsequent term of office, is eligible to be re-appointed for a further term.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90377" lims:id="90377"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90378" lims:id="90378">Acting after expiration of appointment</MarginalNote><Label>(4)</Label><Text>A person may continue to act as a member of the Tribunal after the expiration of his term of appointment in respect of any matter in which he became engaged during the term of his appointment.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90379" lims:id="90379"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90380" lims:id="90380">Temporary substitute members</MarginalNote><Label>(5)</Label><Text>In the event of the absence or incapacity of a member of the Tribunal, the Governor in Council may appoint a temporary substitute member for such period of time as the Governor in Council prescribes.</Text></Subsection></Section><Section lims:inforce-start-date="2005-04-01" lims:lastAmendedDate="2005-04-01" lims:fid="90381" lims:id="90381"><MarginalNote lims:inforce-start-date="2005-04-01" lims:fid="90382" lims:id="90382">Remuneration of lay members</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2005-04-01" lims:fid="90383" lims:id="90383"><Label>(1)</Label><Text>Each lay member shall be paid such remuneration as may be fixed by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2005-04-01" lims:fid="90384" lims:id="90384"><MarginalNote lims:inforce-start-date="2005-04-01" lims:fid="90385" lims:id="90385">Expenses of members</MarginalNote><Label>(2)</Label><Text>Each member of the Tribunal is entitled to be paid the travel allowances that a judge is entitled to be paid under the <XRefExternal reference-type="act" link="J-1">Judges Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2005-04-01" lims:fid="90386" lims:id="90386"><MarginalNote lims:inforce-start-date="2005-04-01" lims:fid="90387" lims:id="90387">Other benefits</MarginalNote><Label>(3)</Label><Text>Each lay member is deemed to be employed in the federal public administration for the purposes of the <XRefExternal reference-type="act" link="G-5">Government Employees Compensation Act</XRefExternal> and any regulations made under section 9 of the <XRefExternal reference-type="act" link="A-2">Aeronautics Act</XRefExternal>.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2005-04-01" lims:fid="90389" lims:id="90389">R.S., lims:id="90390"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90391" lims:id="90391">Oath of office</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90392" lims:id="90392"><Label>(1)</Label><Text>Every member of the Tribunal shall, before entering on the duties of his office, take an oath that he will duly and faithfully, and to the best of his skill and knowledge, execute the powers and trusts reposed in him as a member of the Tribunal.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90393" lims:id="90393"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90394" lims:id="90394">How administered</MarginalNote><Label>(2)</Label><Text>The oath referred to in subsection (1) shall be administered to the Chairman of the Tribunal before the Chief Justice of the Federal Court, and to the other members by the Chairman, or in his absence or incapacity, by any other member.</Text></Subsection></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="90395" lims:id="90395" level="2"><TitleText>Jurisdiction and Powers of the Tribunal</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="90396" lims:id="90396"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90397" lims:id="90397">Jurisdiction</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90398" lims:id="90398"><Label>(1)</Label><Text>The Tribunal has jurisdiction to hear and dispose of all applications made under Part VII.1 or VIII of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal> and any related matters, as well as any matter under Part IX of that Act that is the subject of a reference under subsection 124.2(2) of that Act.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90399" lims:id="90399"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90400" lims:id="90400">Powers</MarginalNote><Label>(2)</Label><Text>The Tribunal has, with respect to the attendance, swearing and examination of witnesses, the production and inspection of documents, the enforcement of its orders and other matters necessary or proper for the due exercise of its jurisdiction, all such powers, rights and privileges as are vested in a superior court of record.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90401" lims:id="90401"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90402" lims:id="90402">Power to penalize</MarginalNote><Label>(3)</Label><Text>No person shall be punished for contempt of the Tribunal unless a judicial member is of the opinion that the finding of contempt and the punishment are appropriate in the circumstances.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="90406" lims:id="90406">Costs</MarginalNote><Label>8.1</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90407" lims:id="90407"><Label>(1)</Label><Text>The Tribunal may award costs of proceedings before it in respect of reviewable matters under Parts VII.1 and VIII of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal> on a final or interim basis, in accordance with the provisions governing costs in the <XRefExternal reference-type="regulation">Federal Court Rules, 1998</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90408" lims:id="90408"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90409" lims:id="90409">Payment</MarginalNote><Label>(2)</Label><Text>The Tribunal may direct by whom and to whom any costs are to be paid and by whom they are to be taxed and allowed.</Text></Subsection><Subsection lims:inforce-start-date="2024-06-20" lims:enacted-date="2024-06-20" lims:fid="90410" lims:id="1479738"><MarginalNote lims:inforce-start-date="2024-06-20" lims:enacted-date="2024-06-20" lims:fid="1479739" lims:id="1479739">No award against the Crown</MarginalNote><Label>(3)</Label><Text>Despite any other Act of Parliament, the Tribunal shall not award costs against His Majesty in right of Canada unless it is satisfied</Text><Paragraph lims:inforce-start-date="2024-06-20" lims:enacted-date="2024-06-20" lims:fid="1479740" lims:id="1479740"><Label>(a)</Label><Text>that an award is necessary to maintain confidence in the administration of justice; or</Text></Paragraph><Paragraph lims:inforce-start-date="2024-06-20" lims:enacted-date="2024-06-20" lims:fid="1479741" lims:id="1479741"><Label>(b)</Label><Text>that the absence of an award would have a substantial adverse effect on the other party’s ability to carry on business.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90412" lims:id="90412"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90413" lims:id="90413">Costs adjudged to Her Majesty in right of Canada</MarginalNote><Label>(4)</Label><Text>Costs adjudged to Her Majesty in right of Canada shall not be disallowed or reduced on taxation by reason only that counsel who earned the costs, or in respect of whose services the costs are charged, was a salaried officer of Her Majesty in right of Canada performing those services in the discharge of that counsel’s duty and remunerated for those services by salary, or for that or any other reason was not entitled to recover any costs from Her Majesty in right of Canada in respect of the services so rendered.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90414" lims:id="90414"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90415" lims:id="90415">Amounts to Receiver General</MarginalNote><Label>(5)</Label><Text>Any money or costs awarded to Her Majesty in right of Canada in a proceeding in respect of which this section applies lims:id="90420"><Label>(1)</Label><Text>The Tribunal is a court of record and shall have an official seal which shall be judicially noticed.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90421" lims:id="90421"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90422" lims:id="90422">Proceedings</MarginalNote><Label>(2)</Label><Text>All proceedings before the Tribunal shall be dealt with as informally and expeditiously as the circumstances and considerations of fairness permit.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90423" lims:id="90423"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90424" lims:id="90424">Interventions by persons affected</MarginalNote><Label>(3)</Label><Text>Any person may, with leave of the Tribunal, intervene in any proceedings before the Tribunal, other than proceedings under Part VII.1 of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal>, to make representations relevant to those proceedings in respect of any matter that affects that person.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90425" lims:id="90425"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90426" lims:id="90426">Summary dispositions</MarginalNote><Label>(4)</Label><Text>On a motion from a party to an application made under Part VII.1 or VIII of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal>, a judicial member may hear and determine the application in a summary way, in accordance with any rules on summary dispositions.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90427" lims:id="90427"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90428" lims:id="90428">Decision</MarginalNote><Label>(5)</Label><Text>The judicial member may dismiss the application in whole or in part if the member finds that there is no genuine basis for it. The member may allow the application in whole or in part if satisfied that there is no genuine basis for the response to it.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem Work</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="90432" lims:id="90432"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90433" lims:id="90433">Sittings of Tribunal</MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90434" lims:id="90434"><Label>(1)</Label><Text>Subject to section 11, every application to the Tribunal shall be heard before not less than three or more than five members sitting together, at least one of whom is a judicial member and at least one of whom is a lay member.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90435" lims:id="90435"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90436" lims:id="90436">Judicial member to preside at hearings</MarginalNote><Label>(2)</Label><Text>The Chairman shall designate a judicial member to preside at any hearing or, if the Chairman is present at a hearing, may preside himself.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="90437" lims:id="90437"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="90438" lims:id="90438">Prohibition where financial interest</MarginalNote><Label>(3)</Label><Text>No member shall take part in any matter before the Tribunal in which the member has a direct or indirect financial interest.</Text></Subsection></Section><Section lims:inforce-start-date="2009-03-12" lims:lastAmendedDate="2009-03-12" lims:fid="90439" lims:id="90439"><MarginalNote lims:inforce-start-date="2009-03-12" lims:fid="90440" lims:id="90440">Hearing of applications</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2009-03-12" lims:fid="90441" lims:id="90441"><Label>(1)</Label><Text>The Chairman of the Tribunal, sitting alone, or a judicial member designated by the Chairman, sitting alone, may hear and dispose of applications under
